Allen Overy Shearman Sterling US LLP (Menlo Park, CA) seeks Sr Associate Attorney. Requires JD, LLM or foreign equivalent +3 years experience in position offered or as Associate at law firm with annual revenues in excess of $750M.
All required experience must have included drafting, negotiating reviewing complex transaction documents including prospectuses & other offering documents & memoranda, underwriting & purchase agreements, credit agreements, guaranties, security package agreements, asset & stock purchase agreements, stockholders' agreements, confidentiality agreements & legal opinions; structuring & negotiating complex transactions including M&A, securities offerings, JVs, corporate reorganizations, debt financing, equity investments & structured finance arrangements on behalf of sovereign wealth funds & public & private companies in tech, energy, healthcare & financial services industries/sectors; advising on corporate finance transactions including debt financing, equity investments & structured finance arrangements; performing legal research & analysis of US regulatory frameworks across various industries including securities regulations; advising on corporate governance matters including board practices, compliance with SOX, Dodd-Frank & other corporate governance regulations.
Must be admitted to practice law in CA. Position requires less than 10% domestic & international travel. Role entails hybrid work with time split between working in Menlo Park, CA office & flexibility to telecommute from another US location.
